These Terms & Conditions (“Terms”) govern your access to and use of the Prospexy platform and related services provided by PX Innovative Solutions Inc. (“Prospexy,” “we,” “us,” or “our”), headquartered in Montréal, Québec, Canada.

By creating an account, accessing, or using Prospexy, you agree to these Terms. If you do not agree, you must not use the platform.

1. Eligibility & Account

You must be at least 18 years old and legally capable of entering into binding contracts.
You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
Sub-accounts (if applicable) remain under the responsibility of the main account holder.

2. Services

Prospexy provides an AI-powered SaaS platform for customer relationship management, marketing automation, AI agents, calls, SMS, emails, and other digital tools.

Service features may vary depending on your selected subscription plan.
Service availability may be affected by maintenance, upgrades, or external providers.

3. Phone Numbers & Communication Services

To use SMS, call, or AI voice services, you must either:
1. Purchase a new phone number through Prospexy,
1. Port your existing number, or
2. Connect your own Twilio account.
Communication usage (calls, SMS, AI interactions) requires credits from your digital wallet. Adding funds is optional but required to access these services.
You are responsible for ensuring compliance with applicable laws regarding consent and communications (e.g., Canada’s Anti-Spam Law (CASL), U.S. TCPA, EU GDPR ePrivacy).

4. Pricing, Payments & Taxes

Subscription plans differ in price, features, and limits. Details are available on the Prospexy website.
Additional usage fees (calls, SMS, AI, etc.) are charged against your digital wallet balance.
Payments are processed securely through third-party providers.
All prices are subject to applicable taxes, including Québec QST (9.975%), Canadian GST (5%), and any applicable international VAT or sales taxes.
Currency and exchange rates are determined at checkout.

5. Refund Policy

Refunds are only available if requested within 30 days of account creation or trial start date.
After 30 days, all fees are non-refundable.
No refunds are provided for partially used subscription periods, wallet credits, or add-on services.

6. Acceptable Use Policy

You agree not to misuse Prospexy. Prohibited activities include (but are not limited to):

Sending spam, fraudulent, or unsolicited communications
Using AI agents for harmful, misleading, or unlawful purposes
Harassment, abusive language, or threats via calls, SMS, or email
Attempting to bypass security systems
Reverse engineering or unauthorized access to the platform

Prospexy reserves the right to suspend or terminate your account immediately—without refund—for violations of this policy.

7. Intellectual Property

All rights, titles, and interests in the Prospexy platform, branding, software, and content remain with PX Innovative Solutions Inc.
You may not copy, reproduce, distribute, or reverse engineer any part of the platform.

8. Disclaimer & Limitation of Liability

Prospexy is provided on an “as is” and “as available” basis.
We do not guarantee uninterrupted, error-free, or secure service.
Our liability is limited to the total subscription fees paid by you in the 12 months preceding a claim.
We are not liable for lost profits, lost data, or indirect damages.

9. Termination

You may cancel your subscription at any time via your account settings.
Prospexy may suspend or terminate your account for non-payment, misuse, or violation of these Terms.

10. Governing Law

These Terms are governed by the laws of the Province of Québec and the laws of Canada applicable therein.
Any disputes shall be submitted to the exclusive jurisdiction of the courts of Montréal, Québec.

11. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or through the platform. Continued use of the platform constitutes acceptance of revised Terms.
